Software terms and conditions
Please read these Terms and Conditions carefully.

All contracts that the Provider may enter into from time to time for the provision of the Hosted Services and related services shall be governed by these Terms and Conditions, and the Provider will ask the Customer for the Customer's express acceptance of these Terms and Conditions before providing any such services to the Customer.

  1. LOGIC ERP grants to the Customer a non-exclusive, non-transferable, personal licence to use the Software at the Location for the number of servers or end users specified on the Order Form. If the Customer proceeds to use the Software, the Customer agrees that it has accepted the terms of this Agreement. This licence to use the Software shall terminate if the Customer no longer takes Maintenance and Support services.

  2. All LESPL products are licensed on a subscription basis for a specified period of time. The products will stop working after they have reached the end of the specified subscription period unless they are renewed.

  3. The new expiry date of a subscription will be calculated from the last expiry date, not from the current date, if the subscription is renewed after the date of expiration.

  4. Except as expressly agreed, the Customer will not rent, lease, sub-license the Software, Third Party Software or Products, nor distribute the Software or Third Party Software to any third party.

  5. The Software may be subject to security measures to protect LOGIC ERP's rights, such as in the event of non-payment.

  6. Unless as expressly agreed, LOGIC ERP does not provide Maintenance and Support for Third Party Software or the Products.

  7. The Customer undertakes to upgrade to the current version of the Software if Maintenance and Support are paid regularly.

  8. LOGIC ERP reserves the right to increase its charges any time upon giving the Customer at least 30 days’ prior written notice of such increase.

  9. Notwithstanding any other rights under this Agreement, LOGIC ERP may suspend or terminate the performance of its obligations under this Agreement where the Customer is in default of payment, provided that LOGIC ERP has first served the Customer with at least 5 days’ prior written notice of its intention to suspend or terminate the Services.

  10. It is the Customer’s responsibility to ensure that Equipment is compatible with the Software, any Third Party Software and Products.

  11. The Customer will allow reasonable physical and systems access to its Location and Equipment to enable LOGIC ERP to install the Software and to provide Maintenance and Support. LOGIC ERP engineers will need network logins for the Software being used on the Equipment with administration rights.

  12. The Customer agrees to use the Software in accordance with all operating instructions and agreed procedures and not to change its configuration without the approval of LOGIC ERP.

  13. In case of On-Premise Subscription/Product, The Customer will keep full security copies of all data processed by the Software. LOGIC ERP will not be liable for any loss of data.

  14. If LOGIC ERP cannot reproduce a logged fault, the Customer will assist in providing remote access to the PC and or Server to further investigate the fault.

  15. Users who are suspected of having information which involves fraud, embezzlement, money laundering, insider trading, support for terrorism, or any other activity proscribed by law may have their accounts terminated, their financial data erased, and they also may be reported to law enforcement officials in the appropriate jurisdictions.

  16. You agree not to store, upload, transmit virus, Trojan horse, worm or other disruptive or harmful software or data and any information, software or content which is not legally yours and may be protected by copyright or other proprietary rights, or derivative works, without permission from the copyright owner or intellectual property rights owner.

  17. The company has the right to make amendments or add to the terms of this Agreement at any time, and to change, delete, discontinue, or impose conditions on any feature or aspect of the LOGIC products and services with or without notice that we in our sole discretion deem to be reasonable in the circumstances. Any use of the Payment Gateway Services or software after our notification through email address of any such changes will constitute your acceptance of this Agreement as modified.

  18. In case of customer discontinue cloud subscription or do not renew within one month of expiry, LOGIC will be responsible to secure client's data for one month only. Data recovery charges will be applicable according to data size if client needs to recover the data after one month.
